1. About these Terms
These Terms of Service (the "Terms") govern access to and use of the website located at xchangehouse.ca (the "Site") and any services provided by Xchange House (the "Firm", "we", "us") to you. By accessing the Site or engaging the Firm for services, you agree to these Terms. If you do not agree, please do not use the Site or engage the Firm.
2. The Firm and its services
The Firm is a registered Money Services Business in Canada. We provide regulated foreign exchange, cross-border payment execution, payment management, paymaster services, compliance oversight, and related financial operations services as described on the Site.
We are not a bank, deposit-taking institution, investment dealer, portfolio manager, or registered advisory firm. We do not provide investment, tax, or legal advice. Nothing on the Site or in our communications constitutes advice of any kind; clients should engage qualified professionals for advisory needs.
3. Engagement and client onboarding
Provision of services is subject to client acceptance by the Firm, completion of onboarding (including identity verification, beneficial ownership determination where applicable, and such other compliance checks as the Firm may require), and execution of a separate written engagement agreement between the client and the Firm. Use of the Site does not create an engagement.
The Firm may, at its discretion and at any time, decline to accept a prospective client, decline a transaction, or terminate an engagement, including where doing so is necessary to comply with applicable law or the Firm\'s risk management policies.
4. Regulatory compliance
All services are provided subject to the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (Canada) and the regulations thereunder, and applicable sanctions legislation. Clients agree to cooperate with the Firm\'s compliance procedures, including identity verification, source-of-funds review, and transaction documentation requirements.
5. Fees and rates
Foreign exchange rates, fees, and service charges are as quoted by the Firm at the time of each transaction or as set out in an engagement agreement. Rates may move rapidly and are confirmed only at the point of transaction execution.
6. Use of the Site
You agree to use the Site only for lawful purposes. You must not attempt to access any non-public areas, interfere with the Site\'s operation, or use the Site to transmit unlawful or harmful content.
Content on the Site (including text, graphics, and design) is the property of the Firm or its licensors and is protected by copyright and other intellectual property laws. You may view and print content for personal, non-commercial purposes only.
7. Information accuracy
The Site is provided for informational purposes. While we endeavour to keep information accurate and current, we make no warranty as to accuracy, completeness, or suitability for any particular purpose. Rates, service descriptions, and regulatory references are subject to change.
8. Third-party links and services
The Site may contain links to third-party websites or reference third-party services. The Firm does not control and is not responsible for those third parties or their content.
9. Limitation of liability
To the maximum extent permitted by law, the Firm\'s liability arising out of or in connection with the use of the Site is limited. Specific limitations applicable to services engagements are set out in the relevant engagement agreement.
10. Governing law and jurisdiction
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. The parties submit to the exclusive jurisdiction of the courts of Ontario in respect of any dispute arising out of these Terms, without prejudice to any mandatory consumer-protection or regulatory rights under applicable law.
11. Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on the Site with a revised "Last updated" date. Continued use of the Site after an update constitutes acceptance of the revised Terms.
